Terms of Trade
Effective Date: 19 December 2025
These Terms of Trade (“Terms”) govern the sale of products and provision of services by Williams Wellness Limited (“Williams Wellness”, “we”, “us”, or “our”) to any customer, client, or business (“Customer” or “you”). By placing an order, you accept these Terms in full.
1. Orders and Acceptance
All orders are subject to acceptance by Williams Wellness. An order confirmation constitutes acceptance. We reserve the right to refuse any order at our discretion. Specifications, pricing, and availability are subject to change without prior notice.
2. Pricing and Payment
Prices are stated in GBP and exclude VAT unless specified. Payment terms are strictly 30 days from invoice date unless otherwise agreed in writing. Late payments may incur interest at 4% above the Bank of England base rate per month, calculated daily.
3. Delivery
Delivery dates are indicative. While we aim to meet agreed times, delays may occur. Risk passes to the Customer upon collection or delivery. Customers are responsible for inspecting goods on receipt and notifying us of damage or shortages within 7 days.
4. Title and Risk
Title to goods remains with Williams Wellness until full payment is received. Risk passes upon delivery. Customers must handle goods with care and store them appropriately until payment is made in full.
5. Returns and Cancellations
Goods may only be returned with our prior written approval. Returns must be in original condition and packaging. Customised or bespoke items are non-returnable. Cancellation of confirmed orders may incur charges for preparation, delivery, or loss.
6. Warranty
We warrant that supplied equipment is free from defects in material and workmanship at the time of delivery. Warranty claims must be notified promptly. This warranty does not cover misuse, neglect, accidental damage, or normal wear and tear.
7. Limitation of Liability
To the fullest extent permitted by law, Williams Wellness shall not be liable for indirect, incidental, or consequential losses, including loss of profits, business, or goodwill. Our total liability for any claim shall not exceed the purchase price of the relevant goods or services.
8. Intellectual Property
All intellectual property rights in our products, branding, and documentation remain the property of Williams Wellness. Customers are not permitted to copy, reproduce, or use our materials for commercial purposes without prior written consent.
9. Confidentiality
Customers must treat all information regarding our business, pricing, and technical specifications as confidential. Confidential information shall not be disclosed to third parties without prior written consent.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
